API Services Schedule

This API Services Schedule (Schedule) supplements and forms part of the Business User Agreement (Agreement) and, if applicable, any broader Master Services Agreement (MSA) entered into between you (Program Partner) and Brale Inc. (Brale). Capitalized terms not defined herein have the meanings assigned to them in the Agreement. In the event of any inconsistency between this Schedule and the Agreement, the terms of this Schedule will take precedence with respect to the use and governance of the API Services described herein.
By explicitly selecting “I agree” to the API Services Agreement within the Brale platform user interface, you affirmatively accept and agree to be bound by this Schedule. Only those Program Partners who have completed this opt-in action shall be deemed parties to this Schedule. Brale reserves the right to amend, modify, or supplement this Schedule and its associated pricing structure at any time, in its sole and absolute discretion. Any such changes shall be reflected in the UI and/or at brale.xyz/legal.
- IMPORTANT DEFINITIONS
- ACH Return means an ACH entry initiated through the Services that is returned or rejected by the RDFI/ODFI (or any network participant) for any reason, including as identified by a NACHA return code.
- ACH Return Code means a standard NACHA return reason code (e.g., R01–R85), as may be updated by NACHA from time to time.
- API means Brale's application programming interface that enables Program Partner to programmatically access and integrate with Brale's services enabling functionality to End Users in the Program Partner's product.
- API Documentation means the technical documentation, specifications, and integration guides provided by Brale describing the proper use of the API.
- API Keys means the security credentials (including but not limited to access tokens, client IDs, and secret keys) issued by Brale to Program Partner for authentication and access to the API.
- Automations means automated processes configured through the API to execute predefined actions based on specified triggers or conditions such as a preconfigured custodial wallet which will convert funds to a fiat transaction automatically.
- Blockchain Services means services related to blockchain transaction signing, submission, and management provided by Brale.
- Custodial Wallet means a digital asset wallet where Brale maintains custody of the private keys on behalf of the End User. Custodial wallets may hold a digital asset balance.
- Digital Assets means any digital representation of value that functions as a medium of exchange, unit of account, or store of value.
- End User means a business or individual who can be onboarded as users of the Brale partner API application using a transactional or custodial account.
- Gas Fee means the transaction fee required to successfully conduct a transaction on a blockchain network.
- Identity Maintenance means ongoing scanning and monitoring of End User identities against sanctions lists, OFAC requirements, and other regulatory compliance checks.
- Off-Chain Fees means fees associated with traditional financial transactions that occur outside of blockchain networks.
- On-Chain Fees means fees associated with transactions that occur on blockchain networks.
- Payment Method means a valid payment method (e.g., card, ACH debit authorization, or other method) that Brale may accept via the Portal or a Payment Provider for purposes of invoicing or collecting fees.
- Portal means Brale's web-based interface accessible at brale.xyz that provides account management and service configuration capabilities.
- Production Environment means the live API environment used for real transactions and End User interactions.
- Program Partner's User Interface means the software provided to the End User, by the Program Partner, where the End User initiates account, transaction instructions, or other interactions which may be reflected in instructions relayed via the Brale API, on behalf of the End User.
- Program Partner Reference Assets means Program Partner's fiat assets overseen by Brale (held by third party custodians), which back Stablecoins or other Digital Assets issued or generated via the Services.
- Return Fee means the per-item fee assessed for each ACH Return, as described in Section 4
- Return Service Charge means an additional charge that may apply to certain ACH Returns (including for higher-risk return codes) as described in Section 4.
- Services means those items described in Section 2.
- Stablecoins means Digital Assets that are designed to maintain a stable value relative to a specified asset or basket of assets.
- Transactional Wallet means a digital asset wallet generated by Brale for the purpose of relaying instructions. Transactional wallets do not hold a digital asset balance.
- Stablecoins means Digital Assets that are designed to maintain a stable value relative to a specified asset or basket of assets.
- User Interface or UI means the Portal and any other Brale-provided web-based, embedded, or application-based interface through which Program Partners configure Services, view or accept pricing or fees, receive notices, or otherwise interact with the Services.
- Variable Fees means fees that vary based on transaction volume, type, or other factors as specified in Section 4.
- Virtual Account Number means a unique identifier assigned to an account for the purpose of receiving or sending payments. For the avoidance of doubt, Virtual Account Numbers do not hold a USD dollar balance and are bound to an on-chain wallet address.
- SERVICES
- High Level Description of ServicesUpon electing to enable API Services via the Brale platform interface, the Program Partner receives access to the Brale API suite of services. These services are designed to support integration between the Partner's platform and Brale's infrastructure, enabling third-party users to engage in digital asset and financial services through the Program Partner's application.Services supported to the Brale Program Partner via the API are:
- End User Account Creation. Ability to create End User accounts for transactional or custodial services including on-chain and off-chain accounts.
- End User Account Access. Ability to initiate transfers on behalf of End Users who have agreed to the End User Agreement, Terms of Service, and Privacy Policy for the purpose of providing them services through the Partner API.
- Value Transfer. Ability to initiate authorized transfers on behalf of End Users when requested by the End User to do so using the supported transfer types. Supported transfer types include but are not limited to ACH, Wire, or blockchain transfers on supported blockchains.
- API Key Creation. Brale will provide a portal with the ability to create one or many API credentials for the use of supporting End User needs via the Partner API implementation.
- API Functionality. Brale will provide access and manage key API endpoint requirements to implement Partner API functionality into the application. These include but are not limited to:
- Account creation endpoint
- Account transfer endpoint
- Account automation endpoint
- Identity Verification. Brale will provide ongoing identity verification of End User accounts created through the Partner API Implementation.
- Identity Maintenance. Brale will provide ongoing identity maintenance including but not limited to ongoing sanctions, OFAC, and security screening of transactions and identities onboarded to Brale, on behalf of the Program Partner.
- Portal. Brale agrees that custodial business accounts created via the Brale API by the API Partner will retain access to Brale business accounts at brale.xyz.
- API Integration
- Brale shall provide Program Partner with access to the API Services, including:
- Environment access
- API Documentation
- API Keys and credentials
- Dedicated technical support during implementation
- Program Partner shall:
- Comply with all integration requirements specified in the API Documentation
- Maintain the security of its API Keys and immediately notify Brale of any security breaches
- Ensure all API calls include required authentication and follow specified formats
- Brale shall provide Program Partner with access to the API Services, including:
- Service Requirements
- Program Partner agrees to abide by all services requirements while using API Services.
- Account Opening Requirements
- End Users must agree to Brale's Terms of Service, Privacy Policy, and End User Agreement prior to or during the account creation process.
- Program Partner shall not alter, update, or modify information provided by the End User unless directly requested by the End User and is not intended in any way to circumvent Brale's KYC or onboarding procedures.
- Program Partner shall maintain accurate records of End User consents and agreements which occur in Program Partner's user interface provided to the End User.
- Use of Marks
- Program Partner is prohibited from using Brale's marks, name, or likeness in any way:
- Not required within this Services Schedule
- Without written approval from Brale
- Program Partner is prohibited from using Brale's marks, name, or likeness in any way:
- Data Privacy and Security
- Program Partner shall comply with all applicable data protection laws
- Program Partner shall implement appropriate technical and organizational measures to protect End User data
- Program Partner shall not store sensitive authentication data
- Program Partner shall maintain an incident response plan
- API Usage Restrictions
- Program Partner shall not attempt to circumvent any security measures
- Program Partner shall not use the API for any prohibited purposes as defined in Section 2d
- Prohibited Uses.Program Partner shall not use the API Services to:
- Violate any applicable laws or regulations
- Facilitate illegal transactions
- Harass, abuse, or spam End Users
- Reverse engineer the API
- Redistribute or resell API access without Brale's written consent
- Process transactions for prohibited businesses
- Directions and ResponsibilityAll Directions submitted via API are deemed authorized by Program Partner. Brale has no obligation to validate the legality, authority, or accuracy of such Directions and shall be entitled to rely on them without further inquiry. Program Partner is solely responsible for maintaining API Keys and credential security and ensuring that all submitted Directions comply with applicable law and are properly authorized.
- End User Data and Payment RoutingAs part of the services provided under this API Schedule, Brale may, in its discretion, provision Customer Records using one or more Payment Providers, including but not limited to Dwolla, Inc. and Stripe, Inc. These records exist solely for the purpose of executing payment instructions initiated via the Brale platform and are not financial accounts held in the name of the end user. You acknowledge that Brale may share user information such as name, email address, and bank account details with such providers as necessary to complete transactions. You are responsible for:
- obtaining any required consents from your end users, and
- displaying or making accessible any applicable Payment Provider terms of service and privacy policies when required by Brale.
- SERVICE LEVELS AND SUPPORT
- Technical SupportSupport Channels:

- Emergency Slack support for Critical Issues
- Developer documentation
- Dedicated support during implementation
- Maintenance and UpdatesScheduled Maintenance:
- Routine maintenance will be performed during off-peak hours
- Notice will be provided at least 48 hours in advance
- Emergency maintenance may be performed with shorter notice for critical updates
- Technical Support
- FEES
- Generally. Program Partner agrees to pay all fees applicable to the API Services, including fees arising from ACH Returns, as displayed through the Brale platform interface (“UI”) or published at brale.xyz/legal (or any successor URL), as such fees may be updated from time to time in accordance with this Schedule.
- ACH Return Fees. Brale may assess:
- a Return Fee for each ACH Return associated with Program Partner or its End Users; and
- a Return Service Charge for ACH Returns associated with higher-risk ACH Return Codes, including R29 and R30.
- $10 per ACH Return; and
- $100 per ACH Return for ACH Return Codes R29 or R30, in each case per returned entry.
- Billing, Authorization, and Collection. Program Partner authorizes Brale (directly or via a Payment Provider) to charge the applicable Return Fee and any Return Service Charge to the Program Partner's Payment Method on file at the time the ACH Return is received by Brale or posted by the applicable payment network, as determined by Brale. If no Payment Method is available or chargeable, Brale may invoice Program Partner for such amounts, due upon receipt unless otherwise stated in the UI or invoice.
- Disputes; Setoff. Program Partner may dispute an invoiced Return Fee or Return Service Charge by providing written notice in accordance with the notice provisions of the applicable Services Agreement, or as otherwise specified in the UI, to Brale within five (5) business days of invoice delivery. Amounts not timely disputed shall be deemed undisputed. To the extent permitted by applicable law, Brale may set off undisputed amounts owed under this Schedule against amounts otherwise payable to Program Partner or balances held for Program Partner.
- Suspension for Nonpayment. Brale may suspend or limit some or all API Services, including disabling or restricting API keys, for nonpayment of undisputed fees, upon notice to Program Partner, until such amounts are paid in full.
- UI Disclosure and Acceptance. Program Partner acknowledges that API Service fees, including ACH Return Fees and Return Service Charges, are disclosed through the UI during signup, configuration, or usage flows, and that continued use of the API Services after such disclosure constitutes acceptance of the applicable fees.
- MODIFICATIONS AND TERMThis Schedule becomes effective upon the Program Partner's affirmative selection to enable API Services within the Brale interface. This Schedule does not renew or expire on a fixed timeline; it remains in effect for as long as the Program Partner uses the Services, unless modified or terminated as described herein.Brale may revise this Schedule at any time, including changes to scope, functionality, or fees. Updated terms will be communicated via interface notification or legal documentation portal. Continued usage after changes are posted constitutes binding acceptance.
- GOVERNING LAWThis Schedule, including its interpretation and enforcement, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law rules.All disputes, claims, or controversies arising under or related to this Schedule shall be resolved pursuant to the dispute resolution provisions set forth in the Business User Agreement, including but not limited to its arbitration and class action waiver terms.For questions or further clarification about this Schedule, please contact support@brale.xyz.
